The challenges of investment supervision in the digital age are growing. Investment offers promising high returns for little or no work continue to increase. The case of PT Assa Auto Service, a non-listed company engaged in fleet procurement services, illustrates this. The company made a public investment offering using a Ponzi scheme. PT Assa Auto Service made investments that were neither securities nor licensed entities. This action illegally collected public funds, violating the requirements of business legality and the Obligation of Information Disclosure. A legal loophole exists because the legal status of information disclosure for non-listed companies has not been explicitly explained. This study uses a normative method to explain that the Principle of Information Disclosure functions as a substantive legal standard, not merely as a matter of ethics. This provides a strong basis for applying the Piercing the Corporate Veil (PCV) Doctrine to go beyond the limits of corporate management responsibility. Therefore, the Information Disclosure Obligation can serve as an important legal basis for protecting early investors and encouraging stricter regulations for non-listed companies.
